1. Ownership and Operator

Calisto LLC (Wyoming, USA) – Site operator & contracting entity – 30 N Gould St., Ste R, Sheridan WY 82801, USA

2. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You must not:

1. Use the Site in any manner that could disable, damage, or interfere with any other user's experience
2. Attempt unauthorized access to any part of the Site, systems, or networks
3. Use any robot, spider, scraper, or other automated means to access the Site without express written consent
4. Reverse engineer or attempt to extract the source code or structure of any part of the platform
5. Upload viruses or malicious code
6. Share, resell, or sublicense your account credentials or access to any Calisto product without prior written authorization
7. Use Calisto Backstage to solicit or engage freelancers or contractors outside of the platform to circumvent Calisto's terms or fee structures

3. User Accounts & Authentication

Certain Calisto products — including Calisto One, Agency, Backstage, and Pro — require you to create an account or be granted access by an administrator. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us promptly at alex@calistoco.com if you suspect unauthorized access

Because Calisto One provides single sign-on across multiple products, compromised credentials may affect your access to all connected Calisto services. Calisto may suspend or terminate accounts that show signs of unauthorized use.

4. Calisto Backstage — Freelancer & Contractor Terms

If you access or provide services through Calisto Backstage, the following additional terms apply:

• Relationship: Freelancers and contractors are independent service providers, not employees of Calisto or its affiliates
• Obligations: You agree to deliver services professionally, meet agreed deadlines, and comply with all applicable laws
• Intellectual property: Unless otherwise agreed in writing, work product created through Backstage assignments is owned by the commissioning party upon payment
• Confidentiality: You must not disclose confidential information obtained through Backstage to any third party without prior written consent
• Platform integrity: You may not use Backstage to contact, solicit, or transact with clients outside the platform to avoid applicable fees or terms

5. Changes to Terms

Calisto may revise these Terms at any time. The updated version and “Last Updated” date will appear on this page. Where changes are material, we will use reasonable efforts to notify you via banner, email, or in-product notification. Continued use of the Site after changes implies acceptance.

6. External Links

The Site may contain links to third-party websites. Calisto has no control over — and is not responsible for — the content, privacy policies or practices of any external site.

7. Intellectual Property

All content on the Site — including text, graphics, code, images, designs and downloads — is the exclusive property of Calisto LLC or its licensors. No content may be copied, modified, distributed or reproduced without prior written consent.

8. Trademarks

“Calisto,” “Calisto & Co,” and associated brand names and logos, including but not limited to “Calisto Stays,” “Calisto One,” “Calisto Agency,” “Calisto Backstage,” “Calisto Pro,” and “Calisto Concierge,” are trademarks of Calisto and its affiliated entities. Unauthorized use is strictly prohibited.

9. Disclaimer

The Site and its content are provided “as is” and “as available.” Calisto makes no warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Calisto LLC and its affiliates shall not be liable for any indirect, incidental, consequential or punitive damages arising out of your use of (or inability to use) the Site, including any loss arising from reliance on freelancer or contractor services coordinated through Calisto Backstage.

11. Termination

Calisto may suspend or terminate access to the Site — including any individual product account — at any time without notice, for any reason, including violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Dominican Republic, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Santo Domingo for resolution of any dispute.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be replaced by a valid provision that most closely reflects the original intent, and the remainder shall remain in full effect.

13. Entire Agreement

These Terms constitute the entire agreement between you and Calisto with respect to use of the Site and supersede all prior agreements or communications.
